Junior Company Secretary Market Related - South Africa

We are seeking a highly motivated and detail-oriented Junior Company Secretary with a strong legal background to support our corporate governance and compliance functions. This role will work closely with the senior management team and board of directors to ensure our Client maintains the highest standards of corporate governance, legal compliance, and ethical business practices. Key Responsibilities: 1. Corporate Governance: Assist in organizing and coordinating board and committee meetings Prepare agendas, board packs, and other relevant documentation for meetings Take and distribute accurate minutes of board and committee meetings Maintain and update the company's statutory books and records Help ensure compliance with the company's memorandum of incorporation and other governing documents Assist in the implementation of corporate governance best practices 2. Regulatory Compliance: Support the company's compliance with relevant laws and regulations, including the Companies Act Assist in preparing and filing statutory returns and other regulatory submissions Help maintain relationships with regulatory bodies and external stakeholders Contribute to the development and implementation of compliance policies and procedures 3. Legal Support: Provide basic legal research and analysis on various corporate and commercial matters Assist in drafting and reviewing contracts, agreements, and other legal documents Support the management of the company's intellectual property portfolio Help coordinate with external legal counsel on complex legal matters 4. Shareholder Relations: Assist in organizing annual general meetings and other shareholder events Help prepare shareholder communications and reports Maintain accurate shareholder records and manage share transfers 5. Corporate Administration: Manage the company's entity management system Assist in maintaining corporate structure charts and subsidiary management Support the administration of the company seal and execution of documents Help coordinate the company's insurance program 6. Ethics and Business Conduct: Assist in developing and maintaining the company's code of ethics and business conduct Support the implementation of ethics training programs Help manage the company's whistleblowing system 7. Project Support: Assist in corporate transactions, such as mergers, acquisitions, and restructuring Support due diligence processes Help coordinate special projects as assigned by senior management Qualifications and Requirements: 1. Bachelor's degree in Law (LLB) required; additional qualifications in Company Secretarial Practice preferred 2. 1-3 years of experience in a legal or company secretarial role, preferably in the food service or aviation industry 3. Strong knowledge of South African corporate and commercial law, particularly the Companies Act 4. Familiarity with corporate governance principles and best practices 5. Excellent written and verbal communication skills 6. Strong attention to detail and organizational skills 7. Proficiency in Microsoft Office suite; experience with entity management software a plus 8.
