Legal Counsel: Corporate - Cape Town City Centre

REQUIREMENTS
  • Matric, LLB or similar degree in Law from an accredited law school
  • Admitted Attorney
  • At least 4 years post qualification experience working in a corporate commercial legal capacity within a fast-paced, fast-evolving and dynamic environment, preferably working as an Associate or legal advisor
  • Must have good MS Office, MS Word, MS Excel, and PowerPoint skills
  • Experience in negotiations on complex, high-value contracts, and agreements
  • Experience within the renewable energy sector advantageous
  • The ability to identify and remedy complex legal issues without necessarily inviting the services of external legal advice
  • The ability to draft and manage complex regulatory documentation, handling such matters comfortably within a fast-paced business environment
  • Must have exceptionally good communication skills, both written and verbal
  • good communication skills in drafting high-value legal documentation, which must be clear, unambiguous and concise

DUTIES
  • Corporate M&A and extraordinary transactions
  • Supporting the CEO, CFO, and COO in all M&A activities and supporting and coordinating the legal aspects of M&A and extraordinary transactions.
  • Drafting and supporting the M&A team on negotiation of LoI, MOU, Term sheets, Binding Offers, etc.
  • Coordinating due diligence processes (both for sale and buy side) with main tasks and responsibility on the legal due diligence.
  • Supporting the Head of Development in procuring new project companies through the drafting, negotiating and management of SPAs and ancillary agreements.
  • Managing external advisers.
  • Coordinating corporate elements of due diligence processes for new projects.
  • Managing the administration of the company Opportunity Trust and any other such similar special purpose investment vehicles required by the group.
  • Supporting the Head of Finance and the Head of Corporate Investment Finance with corporate finance transactions, including equity finance arrangements.
  • Supporting the Group Company Secretary with company secretarial requirements for the group.
  • Managing corporate policy implementation and related reporting requirements to the Board and other stakeholders
  • Drafting, reviewing and advising on commercial contracts such as SLAs, Terms and Conditions, NDAs, MOUs for all teams within the business, including any new business initiatives of the company.


Salary: R negotiable dependent on experience
